2) Lakes Area Realtors® Association Bylaws – Proposed Amendments 11/10/2023

 The words in red are the only proposed changes:

Article XI – Officers and Directors

Section 1. Officers. The elected officers of the association shall be: a president, a president-elect, a secretary, and a treasurer and past-president. (Amended 3/2019.) At the discretion of the directors, the positions of secretary and treasurer may be combined. In the event that the positions are combined, the number of directors shall be increased by 1 (one.) The officers shall be elected for terms of 1(one) year or until a successor is qualified.

Section 5.  Vacancies.  Vacancies among the officers and the board of directors shall be filled by a simple majority vote of the board of directors until the next annual election. (Informational.)

Section 7.  Chief Executive Officer.  There shall be a chief executive officer, appointed by the board of directors, who shall be the chief administrative officer and Secretary of the association.  The chief staff executive shall have the authority to hire, supervise, evaluate and terminate other staff, if any, and shall perform such other duties as prescribed by the board of directors. Section 8. Executive Committee.  The board of directors shall have a special committee made up of the Officers, known as the Executive Committee. The members shall be the President, President-Elect, Secretary, and Treasurer and PAST PRESIDENT (Amended 3/2019.)  The committee may exercise the powers of the board of directors between meetings of the board, except it may not: amend the Bylaws, make rules or regulations governing nominations or elections, prescribe regulations for professional standards proceedings or express a public opinion or position on any matter including legislation of major import to the members of the association. The Executive Committee shall report any actions taken to the board of directors at its next meeting. Restraints include a $500 limit on any actions.
